These Terms and Conditions (“Terms”) govern your access to and use of the services provided by JCA Creative Ltd ("we", "us", "our") via our online platform, available at www.cllimber.com (the “Platform”). By registering for an account or accessing any part of our Platform, you agree to be bound by these Terms.

1. Definitions

“Platform” refers to our online learning environment, website(s), content delivery system, and associated digital services.
“Course(s)” means any digital educational content, including videos, quizzes, downloadable materials, or live sessions, available on the Platform.
“User”, “you”, “your” means the individual accessing the Platform for personal learning purposes.
“Subscription” means a time-limited access licence to one or more Courses, granted on a paid or trial basis.
“Content” refers to any materials, modules, lectures, media, or documentation provided as part of a Course.
“Cllimber.com” (“CllimberTM”, “we”, “our”, “us”) “CllimberTM” is a trademark of JCA Creative Ltd.

2. Eligibility

You must be 18 years or older or have the consent of a parent or guardian to use this Platform. By agreeing to these Terms, you confirm that you meet this requirement.

3. Our Services

JCA Creative Ltd provides access to a range of online Courses through a subscription-based SaaS model. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and Course Content for personal, non-commercial educational purposes only.

4. Account Registration

You are responsible for ensuring that all information you provide during registration is accurate and kept up to date. You must keep your account credentials secure and not share your login with others.

5. Subscriptions, Payments & Refunds

5.1 Pricing

Our prices are listed on the Platform. All fees are inclusive of VAT or other sales tax (if applicable) unless otherwise stated.

5.2 Payment

Payment is required in advance for the chosen subscription period. Payments are processed via third-party providers (stripe.com). You agree to their terms and authorise us to charge your payment method.

5.3 Free Trials

Where offered, free trials grant access for the lifetime of a registration or a limited time. Upon expiry of a limited time, continued access will require a paid subscription.

5.4 Auto-Renewals

Unless cancelled, subscriptions automatically renew at the end of the billing cycle. You may cancel any time before the renewal date via your account settings.

5.5 Refunds

If you are a consumer in the UK or EU, you may have a right to cancel within 14 days of purchase for a full refund, provided you have not accessed the Course content. Once any digital content is streamed or downloaded, the right to cancel is lost under UK Consumer Contracts Regulations 2013.

5.6 Affiliate Scheme

Eligibility
We offer an affiliate programme (“Affiliate Scheme”) that allows registered users (“Affiliates”) to earn commission for referring new paying subscribers to Cllimber. Participation in the Affiliate Scheme is subject to these Terms and Conditions and any additional guidelines or policies issued by Cllimber from time to time.

Registration and Approval
All users who have registered will have access to the Cllimber Affiliate scheme. Cllimber reserves the right, in its sole discretion, to approve or reject any user and to terminate participation in the Affiliate Scheme at any time without notice. Users can opt out of the affiliate scheme by contacting support using the online form.

Referral Process
Affiliates will be provided with a unique referral link or code (“Affiliate Link”). A referral will be attributed to the Affiliate when a new user signs up for a paid Cllimber subscription directly through the Affiliate Link. Referrals made by other means or without use of the Affiliate Link will not be eligible for commission.

Commission and Payments
(a) Affiliates will earn a commission for each valid referral resulting in a paid subscription, in accordance with the current commission rates published by Cllimber.
(b) Commissions will only be payable once the referred user’s payment has been successfully processed and any applicable refund or cancellation period has expired.
(c) Payments will be made to the Affiliate via the payment method selected within their account, subject to any applicable minimum payout threshold and local tax obligations.
(d) We reserve the right to withhold or adjust payments in cases of suspected fraud, misuse, chargebacks, or violation of these Terms.

Prohibited Conduct

Affiliates must not:

Use false, misleading, or deceptive marketing practices

Engage in spam, unsolicited communications, or paid advertising using Cllimber’s brand or trademarks without written consent

Offer incentives or discounts to potential subscribers that have not been authorised by us; or

Any breach of these provisions may result in termination from the Affiliate Scheme and forfeiture of any unpaid commissions.

Modification or Termination
We reserve the right to modify, suspend, or terminate the Affiliate Scheme, or any aspect of it, at any time. In such event, we will endeavour to provide reasonable notice to active Affiliates but is not obliged to do so.

Independent Contractor Status
Participation in the Affiliate Scheme does not create any employment, partnership, joint venture, agency, or fiduciary relationship between the Affiliate and Cllimber. Affiliates are responsible for their own tax filings and compliance with applicable laws.

6. User Conduct

You agree that you will not:

Share, copy, resell, or redistribute any Content.
Upload harmful code or interfere with Platform security.
Misrepresent yourself or impersonate another individual.
Use the Platform for unlawful, harmful, or commercial purposes.

We reserve the right to suspend or terminate your account for any breach of these Terms.

7. Intellectual Property

All Content, trademarks, software, and branding on the Platform remain the property of JCA Creative Ltd or our licensors. You are granted no ownership rights by accessing the Platform. You may not reverse-engineer, reproduce, or create derivative works from the Platform or Content.

8. Availability & Support

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance and occasional downtime may occur. Support is available via the online form.

9. Disclaimer of Warranties

Our services are provided “as is” and “as available”. We make no warranties regarding accuracy, completeness, or outcomes from the use of our Courses. We do not guarantee specific learning results or employment outcomes.

10. Limitation of Liability

To the fullest extent permitted by law, JCA Creative Ltd shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or goodwill. Our total liability for any claim arising under these Terms shall be limited to the amount you paid for the relevant Subscription.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or other matters which cannot be excluded by law.

11. Data Protection

We collect and process your personal data in accordance with our Privacy Policy, which forms part of these Terms. We comply with the UK GDPR and other applicable data protection laws. By using the Platform, you consent to such processing. We may share your personal email address only within the JCA Creative Ltd group.

12. Termination

We may suspend or terminate your access if you breach these Terms. Upon termination, your access to the Platform and any stored progress or certification may be removed. You may terminate your subscription at any time via your account.

13. Amendments

We may update these Terms from time to time. We will notify users by email or via the Platform. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms and any disputes arising from them are governed by the laws of England and Wales. You agree to the exclusive jurisdiction of the English courts.

16. Entire Agreement
